Intellectual Property Policy

Purpose
The Intellectual Property (IP) Policy of Maxreach Ltd is designed to clarify the ownership, protection, and usage of intellectual property created, developed, or used during client projects. This policy ensures the rights of both Maxreach Ltd and its clients are respected and safeguarded.
1. Definition of Intellectual Property
Intellectual property refers to creations of the mind, including but not limited to:
Designs, concepts, and layouts.
Marketing strategies and campaign materials.
Content such as text, graphics, videos, and animations.
Software, code, or algorithms developed during a project.
Any other proprietary information or deliverables produced by Maxreach Ltd or its clients.
2. Ownership of Intellectual Property
Client-Commissioned Work: All IP developed specifically for a client project, upon full payment, becomes the property of the client unless otherwise agreed upon in writing.
Agency-Owned Work: Pre-existing IP, templates, processes, tools, or methodologies owned by Maxreach Ltd remain the sole property of the agency. Clients are granted a non-exclusive license to use these materials solely for the purposes outlined in the agreement.
Collaborative Contributions: Any jointly developed IP will have shared ownership terms explicitly stated in the contract.
3. Use of Intellectual Property
Client Use: Clients are entitled to use the deliverables within the scope of the agreed terms. Unauthorized distribution, resale, or modification of agency-owned IP is strictly prohibited.
Agency Use: Maxreach Ltd reserves the right to showcase completed work in its portfolio, case studies, or marketing materials unless restricted by a confidentiality agreement.
4. Protection of Intellectual Property
Maxreach Ltd employs robust measures to protect IP from unauthorized access, misuse, or infringement.
Confidentiality: Both Maxreach Ltd and the client agree to uphold strict confidentiality regarding each other's proprietary information.
Security Measures: Digital assets and IP are stored securely with restricted access to authorized personnel only.
5. Infringement and Disputes
Claims of Infringement: If either party believes their IP rights have been violated, the issue should be reported promptly for resolution.
Resolution Process: Maxreach Ltd will work collaboratively with the client to address and resolve IP disputes through negotiation or mediation.
Legal Recourse: In cases where disputes cannot be resolved amicably, legal action may be pursued in accordance with applicable laws.
6. Policy Updates and Amendments
This policy will be reviewed periodically to align with evolving business practices and legal requirements. Changes to the policy will be communicated to all relevant stakeholders.
Acknowledgment
By engaging with Maxreach Ltd, clients acknowledge their understanding and acceptance of this Intellectual Property Policy. Any exceptions or modifications to the terms must be agreed upon in writing before project commencement.
